A commercial lawyer & litigator with expertise in the healthcare sector; dental & medical. Being client focused is the best way for me to assist clients, meeting with them initially to answer any questions that may arise at the outset. I advise independent dental practitioners and corporate dental organisations across England and Wales on the acquisition and disposal of NHS and private practices.
Buying or selling a dental practice is one of the most significant challenges you will face. Whilst you may be expert in all things dental, we understand that you may not have expertise in how to buy or sell a practice. AN Law are fully experienced in the rules and regulations affecting every part of the procedures in buying and selling dental practices. Jonathan Jacobs is a founder member of the Greater Manchester Dental Advisers and works with dentists all over England and Wales. He is also on the BDA list of recommended dental solicitors.
It is possible to own a practice as a sole trader, as partners, expense sharers or as a company. In every case, the importance of having a written agreement cannot be overstated. When business runs smoothly, the agreement will cover the organisational aspects but where a dispute arises, it will govern the rights and liabilities of all the interested parties. In the absence of a written agreement, the Partnership Act will prevail. Hence, the presence of a bespoke agreement to tailor your individual needs and requirements is important. We can prepare a suitable document for your particular circumstances and explain its contents in language that you can understand.
As with agreements between you and your colleagues, written staff contracts are essential to avoid disputes arising that can cost the business large sums of money and several hours in downtime, both of which will impact on the profitability of the practice. Associate contracts must protect your business interest (goodwill) otherwise you could be at risk of losing patients if/when they leave. To avoid this, AN Law will draft bespoke associate and employment contracts that will fit the needs and requirements of your business.
Where your practice is incorporated, AN Law can advise on: - • Directors Service contracts • Shareholder agreements • "Flawed" incorporations
Dentistry is awash with rules and regulations. The problem is that although we have NHS England, the Area Teams that make it up, operate with differing interpretations of the rules. This can complicate matters, sometimes unnecessarily. The same can be said of the CQC who now have an increasing role to play in connection with the Area Teams and the General Dental Council AN Law can assist you in: - • Disputes with the Area Teams • Problems with the CQC • Defence of claims brought against you by the General Dental Council - including Interim Orders Committee hearings, Professional Conduct Committee hearings AN Law will always strive for the best possible result, whatever the nature of the complaint as we understand that your professional name is central to your ability to practice dentistry. Having a good relationship with the Area Team, CQC and GDC all make for a smooth working environment. Where problems arise, we will support you 100% throughout what can be an extremely stressful time for you and your family
Civil disputes can arise between partners, directors, between Principal and associate and employer and employee. Whatever the nature of the dispute, if it cannot be resolved swiftly, it could become expensive, stressful, time-consuming, all of which will detract from what you do best - dentistry. Leaving the headaches to AN Law will allow you to continue doing what you do best. Where possible, we will encourage mediation as a means of resolving disputes and only where absolutely necessary, recommend court proceedings. AN Law can act as a Mediator between parties to a dispute and advise on the terms of a settlement in disputes. Above all, we are here to help.
